Terms of Service

These Terms of Service ("Terms") govern your access to and use of TalkLens (the "Service"). The Service is operated by Throughput LLC, doing business as TalkLens, a Washington limited liability company with its principal place of business in Kirkland, Washington, United States ("TalkLens", "we", "us"). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy, which describes how we handle information. If you obtained our iOS app through Apple's App Store, Apple's standard Licensed Application End User License Agreement also applies; if these Terms conflict with Apple's mandatory terms, Apple's terms control solely to the extent of the conflict.

Eligibility and accounts

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or guardian. You are responsible for activity under your account and for keeping your sign-in method secure.

Recording consent (your responsibility)

TalkLens captures and processes what speakers say so you can follow along with captions, translation, and notes. You are solely responsible for ensuring you have any consent or legal right required to record, transcribe, and process the voices and content of other people in the settings where you use the Service. Recording laws vary by location; some jurisdictions require the consent of every participant in a private conversation. Before recording, clearly notify participants that audio will be recorded, transcribed, translated, and processed by the third-party service providers described in our Privacy Policy, and obtain any consent the law requires. Where you rely on an announcement to establish consent, some laws (including Washington's) require that the announcement itself be captured in the recording. Do not use the Service where doing so would be unlawful.

Acceptable use

You agree not to use the Service to: violate any law or third-party rights; record or process others without required consent; upload unlawful, infringing, or harmful content; attempt to disrupt, reverse engineer, or gain unauthorized access to the Service; access the Service by automated means (e.g., scraping or bulk requests) other than through interfaces we provide; interfere with other users' use of the Service; or resell the Service without our permission.

AI credits and payments

The Service uses prepaid AI credits for paid features. Credit purchases are processed by our payment provider on the web and by Apple In-App Purchase in our iOS app; applicable taxes are calculated at checkout by the payment platform. AI credits do not expire. Except where required by law, credits have no cash value and are not transferable. Except where required by law, purchases are final and non-refundable. To request a refund for a web purchase, contact support@talklens.io; requests are reviewed case by case. Refunds for purchases made through Apple In-App Purchase must be requested from Apple and are governed by Apple's policies. Credit pricing and pack contents may change for future purchases.

Unused credits. If you delete your account, or we terminate it for a violation of these Terms, unused credits are forfeited except where the law requires otherwise. If we discontinue the Service, or terminate your account without you being at fault, we will refund the unused portion of credits you purchased; free or promotional credits are not refundable.

AI-generated content

Transcripts, translations, and notes are generated by automated systems and may contain errors or omissions. They are provided for convenience and should not be relied upon as a verbatim or authoritative record. You are responsible for how you use generated content.

Your content

You retain your rights to the audio, files, and content you provide. You grant TalkLens a nonexclusive, worldwide, royalty-free license — sublicensable only to the service providers described in the Privacy Policy — to host, process, and transmit your content solely to operate, secure, and support the Service and to provide the features you request. This license ends when you delete the content or your account, except for temporary copies in backups and limited records we are legally required to keep, as described in the Privacy Policy. We do not use your content to train AI models.

TalkLens property and your license

The Service — including the TalkLens applications, software, design, interface, templates, documentation, and branding — is owned by TalkLens and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, nonexclusive, nontransferable license to use the Service for your personal or internal business use in accordance with these Terms. We reserve all rights not expressly granted.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service and its users.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TALKLENS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, TALKLENS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TALKLENS IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you; in that case our liability is limited to the fullest extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by asking you to re-accept. Continued use after changes take effect constitutes acceptance.

Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules.

General

  • Service changes. The Service evolves: we may add, change, or remove features, and may suspend or discontinue the Service. If we discontinue the Service entirely, we will give reasonable advance notice where practicable and handle unused purchased credits as described above.
  • Third-party services. The Service depends on third-party platforms and providers (described in the Privacy Policy); we are not responsible for their acts or omissions.
  • Feedback. If you send us suggestions or feedback, we may use it without restriction or obligation to you.
  • Indemnity. To the extent permitted by law, you will indemnify TalkLens against third-party claims arising from your unlawful use of the Service or your violation of these Terms (including recording others without required consent).
  • Copyright complaints. Report claimed copyright infringement to support@talklens.io with enough detail for us to identify and assess the material.
  • Notices. We may provide notices by email to your account address or through the Service; you may contact us at the addresses in these Terms.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Severability; waiver. If a provision is unenforceable, the rest remains in effect; our failure to enforce a provision is not a waiver of it.
  • Survival. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) survive.
  • Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and TalkLens regarding the Service.
